标题: 一个有关英国法律的问题

先转载一下国内版的这个问题：

法律专家表示：宏智科技纷争应争取司法介入

　　因公司治理上存在混乱、公司管理和运作上失控，宏智科技已被上海证券交易所实施ST处理。

　　只是，这并不表示公司的股权纷争有所缓解。目前，公司仍然处于两个董事会并存的局面，且纷争双方均没有让步的意思。由此，必将对公司正常经营造成负面影响，进而影响公司业绩，损害投资者尤其是中小投资者的利益。因此，不少法律专家建议，为保护投资者
利益，在纷争双方协商解决问题不成的情况下，应尽快通过司法介入解决矛盾。

　　那么，依照现有法律，司法介入是否可行呢？对此问题，知名法律专家------上海锦天城律师事务所严义明律师给予了记者肯定的答复。

我同学的问题是：在英国，如果上市公司碰到争夺公司控制权的纠纷，比如，出现二个股东大会决议，二个董事会，以及二套经理管理层，就如宏智科技的现在情况，英国司法怎么处理这种问题，有相似的事情发生过吗，有相似的案例吗？

我对这方面一点也不了解，所以请各位学法律的朋友帮帮忙，谢谢了！

对英国的公司法不太了解的说

this is a question of ownership control. You can look at the Corporate Governance for this part. Anyway, each case has their own problem and the corporate governance for the listed company is quite different from China.
Here is the Board control and the composition of board which can be decided by the shareholders in the annual general meeting.
As i knew, there is no similiar case in uk now. The Combined Code requires detail rules about the corporate governance for the uk listed companis.
For the further studies, we have to check the Chinese Listed Companies Regulation.
